Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lynqr ("Lynqr," "we," "us," or "our"), governing your access to and use of our link management, analytics, and intelligence platform (the "Services"). By creating an account or using Lynqr in any capacity, you agree to be bound by these Terms. If you are acting on behalf of a company or organization, you represent that you have authority to bind that entity.
2. Services Overview
Lynqr provides a link intelligence platform that enables teams to create short links, track click activity, monitor campaign performance, and analyze conversion data in real time. Core features include short link generation and management, click and traffic analytics, campaign tagging and UTM management, team workspaces and collaboration tools, conversion tracking and live performance dashboards, and API access for enterprise integrations. Feature availability varies by plan. Lynqr reserves the right to update, modify, or discontinue any feature with reasonable notice.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@lynqr.io if you suspect unauthorized access. Lynqr is not liable for any loss or damage arising from unauthorized use of your account. You may not share account access with individuals outside your licensed team, or use your account to serve clients not covered by your plan without upgrading to an appropriate tier.
4. Acceptable Use
You agree to use Lynqr only for lawful purposes and in ways consistent with these Terms. You may not use the platform to create or distribute links that point to malicious, fraudulent, phishing, or harmful content; to deceive end users about the destination of a shortened link; to circumvent platform policies of any third-party service; to generate artificial or bot-driven click traffic; to infringe the intellectual property or privacy rights of any person or entity; or to engage in any activity that violates applicable law or regulation. Lynqr reserves the right to suspend or terminate accounts that violate these conditions without refund.
5. Subscription Plans & Payment
Lynqr is offered on a subscription basis. By selecting a plan and providing payment details, you authorize Lynqr to charge the applicable fees on a recurring monthly or annual basis. All fees are due in advance of the billing period. Overdue accounts may be subject to service suspension after 7 days and a late fee of 1.5% per month on outstanding balances. All prices are in USD and exclude applicable taxes, which are your responsibility. Lynqr may update pricing with 30 days' written notice.
6. Cancellation & Refunds
You may cancel your subscription at any time from your account settings or by contacting support@lynqr.io. Cancellations must be made at least 7 days before the next renewal date to avoid being charged for the following period. Monthly subscriptions are non-refundable for the current billing period. Annual subscriptions are non-refundable except in cases of material service failure attributable to Lynqr. Upon cancellation, your account and link data remain accessible until the end of your paid period, after which your account is downgraded or closed.
7. Data & Link Retention
Links created on paid plans remain active for the duration of your subscription. If your subscription lapses or is cancelled, Lynqr may deactivate links after a grace period of 30 days. Analytics data is retained per the data retention schedule outlined in our Privacy Policy. Lynqr is not responsible for broken links resulting from account cancellation or non-payment.
8. Intellectual Property
Lynqr and its underlying technology, brand, interface, and content are the exclusive intellectual property of Lynqr, Inc. Nothing in these Terms grants you ownership of any Lynqr property. You retain ownership of your own links, campaign data, and analytics exports generated through the platform. You grant Lynqr a limited license to process and store your data solely for the purpose of delivering the Services.
9. Limitation of Liability
To the maximum extent permitted by law, Lynqr's total liability to you shall not exceed the fees paid by you in the three months preceding the event giving rise to the claim. Lynqr is not liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunity. Lynqr does not guarantee specific click volumes, conversion rates, or campaign outcomes. Platform uptime targets are detailed in our SLA, available on request for Business-tier clients.
10. Indemnification
You agree to indemnify and hold harmless Lynqr, its officers, employees, and affiliates from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, your violation of any applicable law, or any content or links distributed through your account.
11. Modifications to Terms
Lynqr may update these Terms at any time. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved through binding individual arbitration under AAA Commercial Rules. Class action claims are waived. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
